OEM Cloud & Software – Mandatory End Customer Notice

Some Connection products and services include end user license agreements and required reseller pass-through terms from the original manufacturer or service provider. These terms may be provided by the OEM or by Connection. For convenience, applicable terms for certain products are listed below.
This Notice applies to any quotation, order form, order confirmation, purchase order acceptance, click-through acceptance, or other transaction documentation (each, an “Order”) between PC Connection, Inc., and its subsidiaries PC Connection Sales Corporation, MoreDirect, Inc., and GovConnection, Inc. (collectively, “Connection”) and the customer (“Customer”).
- What This Notice Covers
Connection may resell, provision, or facilitate access to third-party software, cloud services, subscriptions, hosted services, and professional services (collectively, “OEM Products”). Each OEM Product is provided by its original manufacturer or service provider (the “OEM”) and is governed by that OEM’s applicable end-user license agreement, subscription terms, terms of service, or similar contractual terms (the “OEM Terms”). - Acceptance of OEM Terms
By placing an Order, issuing a purchase order, clicking to accept, activating, accessing, using, or otherwise receiving the benefit of any OEM Product, Customer confirms that it has reviewed and agrees to be legally bound by the applicable OEM Terms, as updated by the OEM from time to time, together with Connection’s applicable Order and any referenced OEM documentation. No handwritten or electronic signature is required for the OEM Terms to be binding. Acceptance may be shown through Customer’s actions, including order submission, product activation, continued use, or retention of the OEM Products. - Which Terms Control
The applicable OEM Terms govern Customer’s use of the OEM Products and take priority over any conflicting or additional terms included in a purchase order, RFP, RFQ, bid document, or other customer-provided materials. Any customer terms that differ from or add to the OEM Terms or Connection’s Order documents are not accepted and will not apply, even if referenced in a purchase order or invoice payment. - Subscriptions, Billing, and Cancellations
Customer understands that many OEM Products are offered on a subscription, usage-based, or fixed-term basis and may be non-cancellable and non-refundable, except where the applicable OEM Terms expressly allow otherwise.
Connection cannot change OEM Terms or approve refunds, credits, or cancellations unless the OEM expressly authorizes them and Connection receives such authorization from the OEM. Customer remains fully responsible for all charges under each Order unless the applicable OEM expressly agrees to accept a cancellation, releases Connection from its corresponding payment obligation, and refunds Connection for any amounts paid on Customer’s behalf. - OEM Terms Incorporated by Reference

If Customer does not agree to the applicable OEM Terms, Customer should not place an Order for, activate, access, or use the OEM Products. BY PLACING AN ORDER FOR, ACTIVATING, ACCESSING, OR USING THE OEM PRODUCTS AND SERVICES, CUSTOMER ACKNOWLEDGES THAT IT HAS READ, UNDERSTANDS, AND AGREES TO THIS NOTICE AND THE OEM TERMS, AND THAT ITS USE OF THE PRODUCTS AND SERVICES IS SUBJECT TO ALL SUCH TERMS.
